造船合同第一章 关于分包章节的修改

7.    SUBCONTRACTING

The SELLER may, at its sole discretion and responsibility, subcontract any portion of the construction work of the VESSEL to experienced subcontractors, but delivery and final assembly into the VESSEL of any such work subcontracted shall be at the SELLER"s Shipyard. The SELLER shall remain responsible for such subcontracted work.

原标准合同中关于分包章节的描述为:卖方可以,自主地并自担责任地,将本船任何部分的建造工程分包给有经验的分包商,但是,这些分包工程的交付及其最终总装上船工作必须在建造方的船厂内完成。卖方必须对这些分包工程负责。

买方考虑船舶建造的质量控制和监造组等问题上对分包意见很大,尤其拒绝“at its sole discretion”、“any portion of”的描述。对该章节做出重大修改,如:

The SELLER may, at its sole discretion and responsibility, subcontract  certain any portion of the construction work of the VESSEL to experienced subcontractors, in the vicinity of the BUILDER’s Shipyard, provided always that, prior to such sub-contracting taking place, the Seller shall (i) furnish to the Buyer and the Classification Society the name and details of the proposed subcontractor, (ii) obtain the Buyer’s written approval in respect of such subcontracting (iii) but delivery and final assembly into the VESSEL of any such work subcontracted shall be at the BUILDER’s shipyard. The SELLER shall remain responsible for such subcontracted work.

由于国内主流船厂都采用分段建造分包的工作模式,而且从严格意义上讲,除了在本厂建造外其他项目均属于分包项目。所以买方提出“obtain the Buyer’s written approval in respect of such subcontracting”,类似“得到买方事先认可”这样的文字都是不能接受的。

The SELLER may, at its sole discretion and responsibility, subcontract any portion of the construction work of the VESSEL to experienced subcontractors, but main hull structure and superstructures shall be subject to prior approval of the BUYER (such approval shall not be unreasonably withheld). Delivery and final assembly into the VESSEL of any such work subcontracted shall be at the BUILDER"s Shipyard.The SELLER shall remain responsible for such subcontracted work.
